Terms of Service

These Terms of Service ("Terms") govern your access to and use of Vincci AI Inc. ("Vincci", "we", "our", or "us"). These Terms are a binding legal agreement between you and Vincci. By using our services, you agree to these Terms.

1. Acceptance and Scope

These Terms apply to your use of Vincci websites, applications, APIs, tools, communications channels, and related services.

If you use the services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Eligibility, Registration, and Account Security

You must provide accurate registration information and keep account information up to date.

You are responsible for all activity under your account and for safeguarding your credentials. You must promptly notify us of unauthorized use or security incidents.

3. Service Description and Availability

Vincci provides software and related services for workflow automation, communication support, and operational workflows.

We may modify, suspend, or discontinue any part of the services at any time, with or without notice, to improve functionality, maintain security, or comply with legal requirements.

Service features may vary by plan, region, and integration availability.

4. Acceptable Use and Restrictions

You must comply with all applicable laws and may not use the services for unlawful, abusive, fraudulent, infringing, deceptive, or harmful activity.

You may not attempt to gain unauthorized access, interfere with platform operations, bypass security controls, reverse engineer protected components, or misuse API capacity or rate limits.

You may not upload or transmit malware, harmful code, or content that violates intellectual property, privacy, publicity, or other rights of third parties.

5. Customer Content and Responsibility

You retain ownership of content you submit to the services. You grant Vincci a worldwide, non exclusive, royalty free license to host, process, transmit, display, and use your content as necessary to provide, secure, and improve the services.

You are solely responsible for content legality, accuracy, permissions, and appropriateness, including obtaining all required consents and rights.

6. AI and Automated Output

Some features generate or process automated output. Automated output may be incomplete, inaccurate, or unsuitable for your intended purpose.

You are responsible for reviewing and validating all output before relying on it for legal, financial, medical, safety critical, or other high impact decisions.

7. Fees, Billing, and Taxes

Paid features may be subject to subscription terms, order forms, or pricing pages presented at purchase.

Unless otherwise stated, fees are non refundable and due as invoiced. You authorize us or our payment processors to charge payment methods on file for fees, taxes, and related charges.

You are responsible for all sales, use, value added, withholding, and similar taxes associated with your use of the services, excluding taxes based on Vincci net income.

8. Third Party Services and Integrations

The services may interoperate with third party products and providers. Your use of third party services is governed by those providers terms and privacy policies.

Vincci does not control and is not responsible for third party services, availability, security, or processing practices.

9. Intellectual Property Rights

Vincci and its licensors retain all rights, title, and interest in and to the services, including software, interfaces, designs, trademarks, logos, and related materials.

No rights are granted except as expressly stated in these Terms.

10. Feedback

If you provide suggestions, ideas, or feedback, you grant Vincci a perpetual, irrevocable, worldwide, sublicensable, royalty free license to use and incorporate that feedback without restriction or compensation.

11. Confidentiality

Each party may receive non public information from the other party. The receiving party must use reasonable care to protect confidential information and may use it only for purposes of performing under these Terms.

Confidentiality obligations do not apply to information that is publicly available without breach, independently developed, lawfully received from a third party, or required to be disclosed by law.

12. Suspension and Termination

You may stop using the services at any time. We may suspend or terminate access, in whole or in part, if we reasonably determine that you violated these Terms, presented a security or legal risk, failed to pay required fees, or caused harm to the platform or others.

Upon termination, your right to use the services ends immediately. Provisions that by nature should survive termination will survive, including payment obligations, ownership provisions, warranty disclaimers, liability limitations, indemnities, and dispute terms.

13. Warranty Disclaimer

To the fullest extent permitted by law, the services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, statutory, or otherwise.

Vincci disclaims all implied warranties, including merchantability, fitness for a particular purpose, title, non infringement, and any warranty arising from course of dealing or usage of trade.

14. Limitation of Liability

To the fullest extent permitted by law, Vincci will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or business interruption.

To the fullest extent permitted by law, Vincci aggregate liability arising out of or related to these Terms or the services will not exceed the amounts paid by you to Vincci for the services during the twelve months preceding the event giving rise to the claim.

15. Indemnification

You will defend, indemnify, and hold harmless Vincci and its affiliates, officers, directors, employees, and agents from and against claims, damages, liabilities, costs, and expenses arising out of or related to your content, your use of the services, your violation of these Terms, or your violation of applicable law or third party rights.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the jurisdiction where Vincci is organized, without regard to conflict of law principles, except where applicable law requires otherwise.

Before filing a claim, each party agrees to attempt to resolve disputes informally by written notice to the other party. If informal resolution fails, disputes will be resolved in the courts or forum specified by applicable law and enforceable agreement between the parties.

17. Compliance, Export, and Sanctions

You may not use the services in violation of export control, sanctions, anti bribery, anti corruption, or other trade compliance laws.

You represent that you are not subject to applicable sanctions or prohibited party restrictions and will not make the services available to prohibited persons or jurisdictions.

18. Force Majeure

Vincci is not liable for delay or failure to perform due to causes beyond reasonable control, including natural disasters, labor disputes, acts of government, utility failures, internet disruption, security incidents, or third party outages.

19. Assignment and Entire Agreement

You may not assign these Terms without Vincci prior written consent. Vincci may assign these Terms in connection with merger, acquisition, corporate reorganization, or sale of assets.

These Terms, together with any applicable order forms and policies referenced herein, constitute the entire agreement between you and Vincci regarding the services and supersede prior discussions or agreements on that subject.

20. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will update the Last updated date and provide additional notice where required.

Continued use of the services after the effective date of updated Terms constitutes acceptance of the updated Terms.
